3. Quotes and project scope

Any quote, estimate, or proposal is based on the information available at the time of discussion.

If project requirements change, additional work may require a revised quote, additional payment, or an updated timeline.

Only the items specifically agreed in writing are included in the project scope. New features, additional pages, third-party integrations, design changes, emergency support, or extra revisions may be treated as additional work.

4. Client responsibilities

You agree to provide accurate project information, required website access, hosting access, content, images, licenses, plugin/theme files, third-party account access, and timely feedback when needed.

Delays in providing access, content, feedback, approval, or required information may affect the project timeline.

You are responsible for ensuring that you have the legal right to provide access to the website, hosting account, third-party tools, content, and data shared for the project.

5. Payments

Payments may be accepted through agreed methods, including but not limited to Payoneer, bank transfer, Upwork, card payment, marketplace payment, or another agreed payment method.

Payment terms will be stated in the invoice, proposal, project agreement, or written communication.

Work may be paused if payment is overdue or if a required milestone payment has not been completed.

You are responsible for any payment processing fees, bank charges, transfer fees, platform fees, currency conversion fees, taxes, or third-party costs unless otherwise agreed in writing.

6. Deposits and milestones

Some projects may require an advance deposit, milestone payment, or full payment before work begins.

Deposits are used to reserve time, review requirements, plan the project, and begin the work. Deposits may be non-refundable once work, planning, research, consultation, or time reservation has started.

Milestone-based work may be delivered in stages. Each milestone may require review, approval, and payment before the next stage begins.

7. Revisions

Reasonable revisions may be included only when they are part of the agreed project scope.

Major design changes, new features, additional functionality, new integrations, or changes requested after approval may require additional payment.

8. Third-party tools and services

Projects may involve third-party tools and services such as WordPress, WooCommerce, plugins, themes, hosting providers, domain providers, APIs, payment gateways, analytics tools, email services, CRMs, or other platforms.

I am not responsible for outages, bugs, security issues, pricing changes, policy changes, service limitations, or interruptions caused by third-party providers.

You are responsible for maintaining valid licenses, subscriptions, accounts, and access for any third-party products or services required for your project.

9. Website access, backups, and security

When working on a website, I will take reasonable care to protect the website and data.

However, you are responsible for keeping your own backups. For higher-risk work, I may recommend working on a staging website before applying changes to the live website.

I am not responsible for data loss, website downtime, hosting issues, plugin conflicts, third-party service failures, or changes made by other users, developers, hosting providers, or automated systems.

10. Portfolio use

Unless a separate NDA or written agreement says otherwise, I may mention completed projects in my portfolio, case studies, professional profiles, or marketing materials.

Confidential information, private credentials, sensitive business data, and non-public project details will not be shared publicly.

11. Confidentiality

I will treat private client information, login credentials, business data, and project details as confidential.

You also agree not to share private methods, credentials, unpublished materials, or internal project information without permission.

12. Intellectual property

After full payment is received, custom work created specifically for your project will belong to you, unless otherwise agreed in writing.

This does not include pre-existing code, reusable tools, open-source software, general development knowledge, frameworks, third-party plugins, third-party themes, licensed assets, or internal processes used to complete the work.

13. No guarantee of specific results

I will use reasonable skill and care to complete the agreed work.

However, I do not guarantee specific business results, sales, traffic, search engine ranking, conversion rate, revenue, performance score, or third-party approval unless specifically agreed in writing.

14. Limitation of liability

To the maximum extent allowed by law, I will not be liable for indirect, incidental, special, or consequential damages, including loss of profit, loss of revenue, loss of data, business interruption, website downtime, or third-party service failure.

My total liability for a project will not exceed the amount paid for the specific service that caused the claim.

15. Termination

Either party may stop a project by written notice.

If a project is stopped, you are responsible for payment for work completed up to the termination date, including completed milestones, time spent, consultation, research, planning, third-party costs, and non-refundable expenses.

16. Governing law

These Terms are governed by the laws of Bangladesh, unless a separate written agreement states otherwise.
